Terms of Service
1. Who we are
PrevailReady ("PrevailReady", "we", "us") is a software service operated by Aegis Tech Solutions. You can reach us at support@prevailready.com. By using prevailready.com or any PrevailReady software (the "Service"), you agree to these Terms.
2. Purchases and our reseller
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Paddle's Buyer Terms apply to your purchase.
3. What the Service does
The Service helps businesses prepare and check certified payroll files and related calculations from data that you provide. The Service does not submit any filing to any government agency, prime contractor, or other party. You download the files and decide whether, where, and how to submit them.
4. Your responsibilities
- You are solely responsible for the accuracy and completeness of the payroll data, wage rates, fringe benefit information, and other inputs you provide.
- You are solely responsible for reviewing every file and calculation before using it, for complying with the Davis-Bacon and Related Acts, state prevailing wage laws, and all other laws that apply to you, and for any statement of compliance or certification you sign.
- You must have the right to use any personal data you process with the Service, and you must handle employee data in line with applicable law.
- You must not use the Service for any unlawful purpose, attempt to break or overload it, or resell it without our written permission.
5. Not legal, tax, or payroll advice
The Service is a software tool. It does not provide legal, tax, accounting, or payroll advice, and it is not affiliated with or endorsed by the U.S. Department of Labor, any state labor department, or any other government agency. Checks performed by the Service are aids, not guarantees that a filing is accurate, complete, or accepted.
6. Subscriptions, renewals, and cancellation
Paid plans are billed in advance for the selected period and renew automatically until cancelled. You can cancel at any time; your plan stays active until the end of the period you have paid for. Prices may change with at least 30 days' notice before your next renewal. Refunds are covered by our Refund Policy.
7. Free tools
Free tools are provided as-is and may change or be withdrawn at any time. Free browser-based tools process your files on your own device.
8. Intellectual property
We own the Service and its software. You own your data and the files you generate. You grant us only the rights needed to operate the Service for you.
9. Disclaimer of warranties
To the fullest extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that any file will be accepted by any agency or portal.
10. Limitation of liability
To the fullest extent permitted by law, Aegis Tech Solutions will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, or for any fines, penalties, back wages, restitution, interest, or debarment, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service is limited to the amount you paid for the Service in the 12 months before the event giving rise to the claim.
11. Indemnity
You agree to indemnify and hold harmless Aegis Tech Solutions from claims, liabilities, and costs (including reasonable legal fees) arising from your data, your filings, your breach of these Terms, or your violation of any law.
12. Termination
We may suspend or terminate access to the Service if you breach these Terms. You may stop using the Service at any time.
13. Changes
We may update these Terms. If we make material changes, we will update the date above and, for paying customers, notify you by email before the changes take effect.
